Terms of Use (Terms and Conditions) for The Digital Catalyst

These Terms of Use govern your use of the website and the purchase or use of any products, services, or training offered by The Digital Catalyst ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing and using our website, you affirm that you are at least 18 years old and capable of entering into a binding contract. If you disagree with any part of these Terms, you must not use our website or services.
2. Our Services and Products
The Digital Catalyst provides access to digital products, training, and software tools designed to accelerate the growth and secure the future of small businesses and entrepreneurs. These offerings are structured across three tiers: Catalyst Standard, Catalyst Recurring, and Catalyst Advanced.
A. Digital Product Ownership
Upon purchase, you are granted a non-exclusive, non-transferable license to use the purchased digital products (PDFs, training videos, templates, etc.) for your personal or internal business use. You may not resell, redistribute, or share access to these products without express written permission, except where a specific product grants Private Label Rights (PLR), in which case the PLR terms apply.
B. Recurring Subscriptions (Tier 2 Products)
Tier 2 products (Catalyst Recurring) may include a setup fee followed by a monthly support or maintenance fee for access to SaaS apps or continuously updated templates/vaults.
Billing: Subscriptions are billed on a monthly recurring basis from the initial sign-up date.
Cancellation: You may cancel your subscription at any time through your account portal. Cancellation will take effect at the end of the current billing period, and you will lose access to the recurring product and support features. No refunds will be issued for partial months.
3. Financial Terms and Payment Processing
All transactions are processed securely through our chosen platform, systeme.io, and its integrated payment processors.
Pricing: All prices are subject to change without notice, but changes will not affect any orders already placed and paid for.
Taxes: You are responsible for any applicable local taxes, duties, or fees associated with your purchase.
Currency: Transactions for the UK/European market may be in GBP, while other transactions will typically be in USD, as specified on the checkout page.
4. Refund and Guarantee Policy
Due to the nature of digital goods, our refund policy is strict to protect our business and our Client Catalysts.
Standard Digital Products (Tier 1): Refunds are not offered on instantly downloadable digital products (e.g., PDFs, templates) once access has been granted, as the content cannot be returned.
Advanced Programs (Tier 3): Specific advanced courses or workshops may have their own guarantee terms (e.g., a 30-day action-based guarantee), which will be clearly detailed on the product sales page.
5. Client Catalyst Affiliate Program
If you register as a Client Catalyst, the following terms apply:
Agreement: Your participation is governed by a separate Affiliate Agreement, which outlines commission rates, the Residual DFY Income model, Profit-Sharing & Innovation Bonus terms, and payment schedules.
Tracking & Payouts: All lead tracking and automated commission payouts are managed via the systeme.io platform. You are responsible for ensuring your payout information (e.g., PayPal details) is accurate and up-to-date in your affiliate dashboard.
Promotion: You agree to use only ethical and legal promotion methods. We prohibit spamming, deceptive advertising, or any misrepresentation of our products or the earnings potential of the affiliate program.
6. Intellectual Property
The content, structure, design, trademarks, and all original materials provided by The Digital Catalyst (including the 5 Power Questions, product names, course material, and funnel copy) are our exclusive property. You may not reproduce, modify, or exploit any content without our prior written permission.
7. Limitation of Liability
We are committed to providing world-class systems, but we do not guarantee results. Your success as an SBE or a Client Catalyst depends on your effort, expertise, and market conditions.
The Digital Catalyst shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, resulting from:
The use or inability to use the service or products.
Unauthorized access to or alteration of your transmissions or data.
Any loss resulting from affiliate link failure or commission theft.
8. Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of South Africa], without regard to its conflict of law provisions.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the service after any modification constitutes acceptance of the new Terms.
